Founders Agreement (Asutamisleping) template for Estonian Private Limited Company (OÜ) with multiple founders. Required for 2+ founders per ÄS § 138. Single-founder OÜs use "ainuosaniku otsus" instead.
Required vs Recommended Clauses
Required (per Estonian law): identity of all founders, share capital amount, distribution of shares, first management board members. Recommended (avoid future disputes): IP assignment (who owns what), vesting (when founders earn their shares), exit terms (what happens if a founder leaves), reserved matters (decisions requiring all founders).
IP Assignment is Critical
If any founder previously developed something related to the business — make sure IP is properly assigned to the OÜ. Without this, founder who leaves can claim IP later. Standard clause: "All IP developed by founders before and after incorporation, related to the company's business, is hereby assigned to the OÜ."

Do we need a lawyer to draft founders agreement?
For 2-3 friends starting a small business — our template is sufficient. For 2+ founders with significant capital, planned VC funding, or different roles — yes, lawyer is recommended.
Can we add vesting to articles?
Yes, but vesting clauses are complex — recommended to use a lawyer for proper drafting. Common: 4-year vesting with 1-year cliff.
