How to Appoint a Board Member in Your Estonian Company
To add, replace or remove a management board member of an Estonian OÜ, the shareholders (or sole owner) must pass a written decision, and the new member has to consent. The Business Register (RIK) accepts the change only when the decision is submitted in Estonian — which is exactly where most e-residents get stuck.
What this document is
The core document is a shareholders’ decision (üldkoosoleku otsus / ainuosaniku otsus) appointing or removing the board member, plus the incoming member’s consent. It states who is being appointed, from which date, and references your articles of association. It is signed digitally with your e-Residency ID — no notary needed for an OÜ.
Why generate it here
- Bilingual output: the legally valid Estonian version the register accepts + an English copy so you understand exactly what you are signing.
- e-Residency friendly — sign digitally, no notary, no trip to Estonia.
- No lawyer, no €150 fee — pre-filled to match the register’s expected format.
How it works
- 1 Fill a short form: company name, the board member’s details, the effective date (you choose it — backdating for records is allowed).
- 2 See a preview, then pay €6.45 (−50% on your first document).
- 3 Receive the decision + consent as PDF and editable DOCX by email — in valid Estonian and in English.
Frequently asked
Do I need a notary to change a board member of an OÜ?
No. For a private limited company (OÜ) the board-member change is filed through the Business Register portal and signed digitally with your e-Residency ID. A notary is only required for certain other changes (e.g. certain share transfers).
Does the decision have to be in Estonian?
The version submitted to the Business Register must be in Estonian. We generate the valid Estonian document and give you an English copy alongside it so you know what it says.
Can I set an earlier date on the decision?
Yes. You set the document date yourself in the form, and the DOCX is fully editable, so you can match the date the decision was actually made.
