Non-Disclosure Agreement (NDA) template for use in Estonian business. Protects confidential information shared between parties during business negotiations, partnership discussions, M&A deals, or employment. Compliant with Estonian Law of Obligations Act (VÕS).
Types of NDAs
1) **One-way (Unilateral)** — only one party discloses confidential information (e.g. startup to potential investor); 2) **Two-way (Mutual)** — both parties share confidential info; 3) **Multi-party** — three or more parties in joint project. Our template covers unilateral and mutual.
What to Protect
Trade secrets, customer lists, technical data, financial projections, business plans, source code, algorithms, pricing strategies, supplier information. Estonian Trade Secrets Act (since 2018) gives statutory protection — NDA strengthens enforcement.
Term and Enforceability
Standard term 3-5 years post-disclosure (or 10 years for highly sensitive). Penalty clauses (liquidated damages €X per breach) are enforceable in Estonia within reason — courts can reduce if "disproportionate" (VÕS § 162). Specify governing law (Estonian) and jurisdiction (Estonian courts or arbitration via Estonian Arbitration Court).
