Service agreement template for Estonia — for freelancers, consultants, IT contractors, designers, marketing services. Compliant with Estonian Law of Obligations Act (VÕS § 619-634). Different from employment contract (no labour law protections, contractor pays own taxes).
Service Agreement vs Employment Contract
**Service agreement (käsundusleping / teenuse osutamise leping)**: contractor is independent, sets own hours, uses own tools, pays own taxes (VAT if registered). **Employment contract (tööleping)**: employee under employer's control, fixed schedule, employer withholds taxes and social contributions. Misclassification has serious tax consequences (EMTA can reclassify).

For occasional services — FIE (cheaper). For regular freelancing >€20k/year — OÜ (better tax treatment, can deduct expenses). Consult with accountant.
Does VAT apply?
If you're VAT-registered (turnover > €40k/year) — yes, 22% on Estonia-based services. International services have specific rules per place-of-supply.
