But when you found a company with co-founders, or outside the express flow, the asutamisleping is the document that records who founded the company, with what shares and capital.

The founding agreement (asutamisleping) is signed by the founders when the OÜ is established. It records the founders, the share each takes, the share capital and its payment, and adopts the articles of association. For a single founder it is a foundation resolution (asutamisotsus).
