Sales-purchase agreement template for movable goods in Estonia (vehicles, equipment, furniture, electronics). Compliant with Estonian Law of Obligations Act (VÕS § 208-237). For real estate sales — see notice below (notarial form required).
When This Template Applies
For sales of **movable goods** (vallasvara) between any parties — private↔private, private↔company, B2B. Examples: used car (use also our auto-specific template), furniture, electronics, machinery, inventory, IP rights with limited exceptions.
⚠️ DOES NOT Apply To
1) **Real estate** (apartments, houses, land) — requires notarial form by Estonian law (AÕS § 119). See our real estate info page. 2) **OÜ shares** — may require notary depending on articles of association (ÄS § 149). 3) **Cross-border deals** with specific UN CISG considerations.

What warranty period applies?
2 years for new movables, 1 year for used (VÕS § 222 + § 230). Buyer must notify defects within 2 months of discovery (§ 220).
What if the buyer is in another country?
For B2B cross-border deals, UN Convention on International Sale of Goods (CISG) often applies by default. You can exclude CISG by explicit clause and use Estonian law only.
